1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of pulse.suiri.ai, related APIs, and services provided by Gruve Tech, Inc. a Delaware corporation doing business as Suiri, Inc) (hereinafter referred to as “Suiri.ai,” “Company,” “we,” “our,” or “us”) (collectively, the “Services”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, you may not use the Services.
2. Description of Services
Suiri.ai provides AI inference services, including API-based access to large language models and related compute infrastructure.
The Services operate on a prepaid token model.
Suiri.ai may modify, update, suspend, or discontinue any part of the Services at any time without liability.
3. Eligibility and Account Responsibility
You must be at least 18 years old to use the Services.
You are responsible for safeguarding your account credentials and API keys. You are responsible for all activity conducted under your account.
4. Prepaid Billing and Credits
The Services operate on a prepaid basis.
Payments are processed by Stripe. Suiri.ai does not store or access full credit card numbers.
5. Customer Content and Responsibility
You are solely responsible for all prompts, inputs, files, data, and other materials submitted through the Services (“Customer Content”).
You represent and warrant that:
- You have all necessary rights and permissions to submit Customer Content.
- Your use of the Services complies with all applicable laws.
- Your Customer Content does not infringe intellectual property or other rights of any third party.
You grant Suiri.ai a limited, non-exclusive, worldwide license to process Customer Content solely as necessary to provide the Services. Suiri.ai does not acquire ownership of Customer Content.
Sensitive Data Restriction:
You agree not to submit sensitive personal data through the Services, including but not limited to Social Security numbers, government identification numbers, passport numbers, financial account or credit card numbers, or health information protected under applicable law.
The Services are not designed to process or store sensitive regulated personal data.
The Services are not designed to comply with the Health Insurance Portability and Accountability Act (HIPAA), the Gramm-Leach-Bliley Act (GLBA), or similar sector-specific data protection regulations. You agree not to submit protected health information (PHI) or other regulated financial information through the Services
Third-Party Models:
Certain models made available through the Services may be provided by third parties and may be subject to additional license terms. You are responsible for complying with any applicable third-party model terms. In the event of a conflict between these Terms and applicable third-party model terms, the third-party model terms shall govern solely with respect to that model.
6. Zero Data Retention and Model Training
Suiri.ai’s inference services operate as stateless compute services.
- Suiri.ai does not store prompts or model outputs.
- Suiri.ai does not log inference content.
- Suiri.ai does not use Customer Content to train models unless explicitly agreed in writing.
Limited operational metadata (such as token usage and timestamps) may be retained as described in the Privacy Policy.
7. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes
- Generate or distribute malware
- Attempt to reverse engineer or extract models
- Circumvent rate limits or access controls
- Interfere with system integrity or security
- Use the Services in violation of export control or sanctions laws
Suiri.ai may suspend or terminate accounts for violations.
You acknowledge that AI-generated outputs may be inaccurate or incomplete and must be independently validated prior to use in critical applications.
8. Security Reporting (PSIRT)
If you believe you have identified a security vulnerability, incident, or other security concern relating to the Services, you may report it to Suiri.ai’s Product Security Incident Response Team (PSIRT).
PSIRT stands for Product Security Incident Response Team.
Security reports may be submitted to:

Suiri.ai will review reported security issues in good faith. Submission of a report does not grant permission to access, test, or modify Suiri.ai systems beyond authorized use.
9. No Warranties
The Services are provided “as is” and “as available.”
Suiri.ai makes no warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy or reliability of outputs.
Suiri.ai does not guarantee uninterrupted or error-free operation.
You are responsible for validating model outputs before relying on them.
10. Limitation of Liability
To the maximum extent permitted by law:
Suiri.ai’s total liability arising out of or related to the Services shall not exceed the greater of:
- The amount paid by you to Suiri.ai in the twelve (12) months preceding the claim, or
- One hundred dollars ($100).
Suiri.ai shall not be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, loss of data, or business interruption.
Nothing in these Terms limits liability for gross negligence, willful misconduct, or liability that cannot be excluded under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Suiri.ai from any claims, damages, liabilities, or expenses arising from:
- Your misuse of the Services
- Your violation of these Terms
- Your Customer Content
- Your violation of applicable law
12. Data Processing Addendum
If Customer requires a data processing addendum to comply with applicable data protection laws (including GDPR), Customer may request Suiri’s standard DPA by contacting privacy@suiri.ai.
13. Termination
Suiri.ai may suspend or terminate your access to the Services at any time for violation of these Terms.
You may stop using the Services at any time.
Upon termination, unused credits may expire unless otherwise required by law.
14. Privacy
Your use of the Services is also governed by Suiri.ai’s Privacy Policy.
15. Modifications
Suiri.ai may update these Terms at any time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.
17. Entire Agreement
These Terms constitute the entire agreement between you and Suiri.ai regarding the Services, unless superseded by a separate written agreement signed by both parties.
